This Coaching Agreement states the terms and conditions that govern the interactions and services provided by Satori Health & Wellness Coaching Ltd (BN 78770 1523) of 1152 Chapman Street, Victoria BC, V8V2T6 and The Pro-Mind Experience, housed in www.community.thepromindexperience.com and YOU, who agrees to be bound by this Agreement.

These terms and conditions are in addition to the Website Disclaimer and apply to the sale and enrolment of any Online Course and/or Program. Please read these terms and conditions carefully, to the end, before continuing in our Online Course and/or Program and print-off a copy for your records.
If there is any conflict between our Website Disclaimer, these terms and conditions and any Course Specific Terms and Conditions which might apply to a specific Online Course or Program then the conflict shall be resolved by applying the following order of priority.
1. Definitions
“Confidential Information” means information provided by one party to the other in written, graphic, recorded, machine readable or other form concerning the business, clients, suppliers, finances and other areas of the other party’s business or products, including, without limitation, the Course Materials, but does not include information in the public domain other than through the default of the party disclosing the information, information required to be disclosed by any court or regulatory authority, or any information already in the possession or control of the disclosing party.
“Course Materials” means the information provided by Satori Health & Wellness Coaching Ltd to accompany a course provided as part of the Services in hard copy or electronic form.
“Fees” means the fees paid by you or your employer to Satori Health & Wellness Coaching Ltd for the Services.
“Intellectual Property Rights” means copyright, rights in or relating to databases, patent rights, performers’ rights, designs and registered designs, trademarks, rights in or relating to Confidential Information and other intellectual property rights (registered or unregistered) throughout the world.
“Online Course” means the delivery by us of an online course and/or program pursuant to which you learn program/course materials remotely.
“Services” means the provision of the Online Program and/or the Course Materials together with such other services as agreed from time to time and purchased by you through the Website or by telephone.
“Website” means www.satorihwcoaching.ca, and www.themindfulclincian.net, and www.thepromindexperience.com
“you” means the individual purchasing and/or enrolled in the Services.
2. The Services
2.1. A description of the Services together with the dates on which the Services will begin are available through your employer, or on our website. We will provide the Services with reasonable care and skill in accordance with the description set out on the Website.
2.2. We reserve the right to vary or withdraw any of the Services described on the Website without notice.
2.3 We expect you to confirm that the Services you are purchasing, or enroling-in, will meet your needs. We do not make any guarantee to you that you will obtain a particular result, professional qualification or employment opportunity from your purchase and completion of any of the Services.
3. Ordering Services
In consideration of your access to the program, you agree to the following terms:
Purchasing Services via the Website
3.1. In order to purchase any of the Services on-line you must register for an account with us via the Website. If you already have an account with us you can log into your account using your user name and password. If You elect for the payment plan, You hereby authorize the Company to charge your credit card or debit card automatically according to the terms set forth in the Fees section above.
Purchasing Services via the Telephone
3.2. To purchase a Service over the telephone please call +250-884-7224. You do not need to have registered for an account with us to purchase any of the Services over the telephone. You must, however, register for an account with us to access your course on-line. If You elect for the payment plan, You hereby authorize the Company to charge your credit card or debit card automatically according to the terms set forth in the Fees section above.
3.3. When you place an order for a Service via the Website, or telephone you are offering to purchase the Services on these terms and conditions. Satori Health & Wellness Coaching reserves the right to cancel or decline your order or any part of your order at any time until it has been confirmed in accordance with clause 3.5 below.
3.4. Following receipt by us of your order for Services via the Website or on the telephone we will contact you confirming receipt of your order.
3.5. A legally binding agreement between us and you shall come into existence when we have :
(a) accepted your offer to purchase Services from us by sending you an email with an invoice confirming the details of purchase; and
(b) received payment of the relevant Fees from you in accordance with clause 5 below.
3.6. Where your order consists of multiple Online Courses, each individual course will be treated by us as a separate offer to purchase.
3.7. Satori Health & Wellness Coaching Ltd does not and is not responsible for booking any examination with any professional body or examination board.
4. Cancellation, Variation & Refund
4.1. Subject to clause 4.2 below, where we have accepted / confirmed the Services being purchased by you and formed a legally binding agreement with you in accordance with clause 3.5 above. You are not permitted to cancel your purchase of the Services once you have signed an agreement to purchase.
4.2. If you have purchased an Online Course and have already accessed, downloaded all or part of the Online Course and/or started to use that Online Course then you shall have no right to cancel your order.
4.3. Notwithstanding clause 4.1 there is no other right to cancel or vary your purchase of Services and any other cancellation and / or variation of course dates will be at the entire discretion of Satori Health & Wellness Coaching Ltd
5. Fees
5.1. The Fees for the Services shall be as set out on the Website or as told to you over the telephone at the time you placed an order for them.
5.2. Unless otherwise specified at the time you purchase the Services the Fees are exclusive of GST or other local taxes, the cost of some personal course materials and any delivery costs payable in respect of the delivery of personal course materials to you. Each of these costs will be set out in the Invoice and told to you over the telephone prior to your purchase of the Services.
5.3. Fees for the Service selected by you on the Website or purchased over the telephone shall be paid by cheque or debited from your credit / debit card/ account at the time of purchase. Fees must be paid in accordance to the stated agreement, in writing, prior to you, or enrolled employees, have access to any Online Course.
5.4. Any fees charged by your debit or credit card provider in connection with your purchase of Services are for your own account and Satori Health & Wellness Coaching Ltd shall not be responsible for these.
5.5. You shall be responsible for all costs you incur in connection with your attendance at any of our Online Programs or Course.
6. Liability
6.1. No part of the provision of the Services shall be deemed to be, nor is it intended to be, nor should it be taken to be, the provision of investment advice.
6.2. Although Satori Health & Wellness Coaching aims to provide the Services to the highest standards of the industry, neither it, nor its trainers accept any liability for (i) any inaccuracy or misleading information provided in the programmes or Course Materials and any reliance by Client on any such information, (ii) any loss or corruption of data, (iii) any loss of profit, revenue or goodwill, or (iv) any indirect, special or consequential loss arising from any breach of the terms of this Agreement.
6.3. Except to the extent that they are expressly set out in these terms and conditions, no conditions, warranties or other terms shall apply to the Services. Subject to clause 6.5 no implied conditions, warranties or other terms apply (including any implied terms as to satisfactory quality, fitness for purpose or conformance with description).
6.4. Subject to clause 6.5 below, Satori Health & Wellness Coaching Ltd total liability arising from or in connection with these terms and conditions and in relation to anything which we may have done or not done in connection with these terms and conditions and the delivery of the Service (and whether the liability arises because of breach of contract, negligence or for any other reason) shall be limited to the Fees received by us in connection with the relevant Online Program or Course in relation to which a dispute has arisen.
6.5. Nothing in this Agreement shall exclude or limit Satori Health & Wellness Coaching Ltd’s liability for (i) death or personal injury caused by negligence, (ii) fraudulent misrepresentation or (iii) any other matter which under Canadian Or U.S. law may not be limited or excluded.
6.6. No claim may be brought more than six months after the last date on which the Services concerned have finished or ceased to be provided by us.
7. No Transfer of Intellectual Property
All content included as part of the Program, such as text, graphics, logos, images, as well as the compilation thereof, and any software used in the Program, is the property of the Company or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights.
The Company name, the Company logo, the Company slogan, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs and slogans in the Program are the trademarks of their respective owners.
Your participation in the Program does not result in a transfer of any intellectual property to You, and, as a condition of participation in the Program, You agree to observe and abide by all copyright and other intellectual property protection.
You are granted a single-use, non-exclusive, non-transferable, revocable license to access and use the Program content and resources. You hereby agree that You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found in the Program.
The Company content is not for resale. Your participation in the Program does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your individual use, and will make no other use of the content without the express written permission of the Company and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of the Company or our licensors except as expressly authorized herein.
You hereby agree that any infringement of the Company’s intellectual property shall result in an immediate termination of the license granted hereunder. To be clear, if you violate the Company’s intellectual property rights, your access to the Program will be terminated immediately, and you or your workplace, shall not be entitled to a refund of any portion of the fees.
All Intellectual Property Rights in the Course Materials, Online Courses and the discourses made by coaches, consultants and trainers in the Course Programs are, and remain, the intellectual property of Satori Health & Wellness Coaching Ltd or its licensors, whether adapted, written for or customized for the Client or not.
7.1. You are not authorized to:-
(i) copy, modify, reproduce, re-publish, sub-licence, sell, share, upload, broadcast, post, transmit or distribute any of the Course Materials without prior written permission;
(ii) record on video or audio tape, relay by videophone or other means the Online Program or Course given;
(iii) use the Course Materials in the provision of any other course or training whether given by us or any third party trainer;
(iv) remove any copyright or other notice of Satori Health & Wellness Coaching Ltd on the Course Materials;
(v) modify, adapt, merge, translate, disassemble, decompile, reverse engineer (save to the extent permitted by law) any software forming part of the Online Program.
7.2. Breach by you of this clause shall allow us to immediately terminate these terms and conditions with you and cease to provide you with any Services, including but not limited to access to the Online Programs or Courses.
7.3. In consideration of the Fees paid by you, we grant to you a limited, non-transferable, non-exclusive licence to use the Course Materials and the software in respect of the Online Program or Course for the sole purpose of completing the Online Program and / or Course.
8. Confidentiality
8.1. The Company respects the privacy of its clients and will not disclose any information you provide except as set forth in this Agreement. As a condition of participating in the Program, you hereby agree to respect the privacy of other Program participants and to respect the Company’s confidential information.
Specifically, you shall not share any information provided by other Program participants outside of the bounds of the Program unless you receive express written permission from such other participant to share the information. Similarly, the content of the Program contains the Company’s proprietary methods, processes, forms, templates, and other information. You hereby agree not to share the information provided to You in the Program with anyone other than the Company, its owners and employees, and other Program participants.
Given the nature of products and/or services being provided, you agree not to make available or divulge to any party without our prior consent, any of the materials, notes, systems or teachings of any products and/or services provided (“Materials”) as this could have an adverse impact on our business and the products and/or services. By placing an order with us, you acknowledge that if you allow any of these Materials to be made available to any party without our consent, we may take legal action against you.
No photocopy, audio, video, photographic recordings of Satori Health & Wellness Coaching Ltd’s educational classes or any of the copyrighted materials provided are allowed without our prior written consent.
As part of the promotion of future products and services of Satori Health & Wellness Coaching, photographs and recordings of attendees (either individually or as a group) may be taken. By placing an order, you consent to your presence in any audio, video or photographic recordings officially arranged by Satori Health & Wellness Coaching Ltd. Accordingly, you waive any rights, claims or interest in the reproduction, distribution and exposure of any and all aforementioned recordings owned and possessed exclusively by Satori Health & Wellness Coaching Ltd.
Breach of this clause will be deemed by us to be a “material breach” allowing us to immediately terminate the contract between you and us in accordance with clause 8.
This clause 8 survives termination of the contract.
8.2. Either party may disclose Confidential Information to its legal and other advisors for the purposes of obtaining advice from them.
8.3. This clause shall continue notwithstanding termination of these terms and conditions.
9. Termination
9.1. We shall be entitled to terminate these terms and conditions and cease to provide you with any Services with immediate effect in the event that you:
- fail to pay when due your Fees;
- act in an aggressive, bullying, offensive, threatening or harassing manner towards any employee of Satori Health & Wellness Coaching Ltd, any coach or trainer who provides the support in our Program or Courses or any student who attends any group coaching sessions.
- steal or act in fraudulent or deceitful manner towards us or our employees or any other students who may be on our premises or attending our Programs or Courses;
- intentionally or recklessly damage our property or the property of our employees;
- commit any criminal offence committed on our premises or where the victim is our employee;
- are in breach of these terms and conditions.
9.2. On termination clause 6 (liability), 7 (intellectual property rights), 8 (confidentiality) and 10 (restrictions) shall continue notwithstanding such termination.
10. Entire Agreement
These terms and conditions, together with the Website Disclaimer and Course Specific Terms and Conditions are the entire agreement between the parties and supersede any prior agreements and arrangements, whether written or oral. You confirm that you have not relied on any representations in entering into these and any other terms and conditions with us. Nothing in this clause or terms and conditions shall limit liability for any fraudulent misrepresentation.
11. Force Majeure
Satori Health & Wellness Coaching Ltd shall not be liable or responsible to You, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of the Company including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lock-outs, strikes or other labor disputes (whether or not relating to either party’s workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.
12. Assignment
We may assign, transfer, sub-contract any of our rights or obligations to any third party at our discretion.
13. Data Protection
13.1 The nature of the Services provided by us means that we will obtain, use and disclose (together “Use”) certain information about you (“Data”). This statement sets out the principles governing our Use of Data. By purchasing the Services you agree to this Use.
13.2 When you register with us you will need to provide certain Data such as your contact details or employee contact details and demographic information, as per our requirements. We will store this Data and use it to contact you, provide you with details of the Services you have purchased and otherwise as required during the normal provision of the course.
13.3 We may also use the above Data, and similar Data you provide us in response to surveys, to aggregate user profiles and, unless you click on the relevant button on the Registration Form, provide you with communications. We will not pass any personal data onto anyone outside of Satori Health & Wellness Coaching Ltd,
13.4 To enable us to monitor and improve our Services, we gather certain aggregated information about you, or your employees, including details of your operating system, browser version, domain name and IP address, the URL you or they came from and go to and the parts of the Website you visit.
13.5. We use information such as your User ID, session identifiers and password to enable us to identify whether you or your employees are using our services, assist with the provision of services and to ensure that you have access to relevant products. We will only read cookies from your cookie file placed there through your web browser’s interaction with the Website.
13.6. Our products may link to third party websites and we are not responsible for their data policies or procedures or their content.
13.7. Satori Health & Wellness Coaching Ltd endeavour to take all reasonable steps to protect your personal Data including the use of encryption technology, but cannot guarantee the security of any Data you disclose. You accept the inherent security implications of being and transacting on-line over the internet and will not hold us responsible for any breach of security.
13.8. Satori Health & Wellness Coaching Ltd may supplement the information that you provide with information we receive from your employer.

14. Law and Jurisdiction
This Agreement is subject to Canadian law and the parties submit to the exclusive jurisdiction of the Canadian courts in connection with any dispute hereunder.
15. Anti-Bullying
Satori holds a zero tolerance policy for bullying within our Community, online groups or within our meditation programs.
If bullying or intimidation is communicated to us, by a participant in our program, s/he will no longer have the option to participate. All comments are reviewed and monitored, and should a comment be inappropriate we have the liberty to remove it. If disciplinary action is required, we will bring it up with the person and request the style of communication stop and offer strategies to repair. Satori Health & Wellness Coaching Ltd reserves the right to remove someone should their comments be inappropriate after discussion and warnings provided.

What happens in our community stays in our community. Our team coaches, consults and leads the groups and we will discourage all forms of external leadership as much as possible.
The ProMind Experience™ is Satori’s program, and all content is copyrighted and registered as assets of Satori Health & Wellness Coaching Ltd. We will be supporting the Mindful Clinician™ community with encouragement, and all peer support will be within Satori’s platform. No pop-ups groups are allowed, and no leadership training should occur in hospital with the use of our program.
Student Personal Growth & Success Agreement for The ProMind Experience™
Terms Of Participation
Please read carefully. By enrolling in this product, through your workplace, the following Terms and Conditions are entered into by Satori Health & Wellness Coaching Ltd. (“company”, “we” or “us) and You (“Hospital”, “client” or “You”) agree to follow the terms herein
PROGRAM/SERVICE
Satori Health & Wellness Coaching Ltd. (herein referred to as “Satori.” or “Company”) agrees to provide Program, “The ProMind Experience” (herein referred to as “Program”) purchased from your employer. As a condition of participating in the Program, you agree to be bound by and to abide by all policies and procedures set out in this Agreement, including those incorporated by reference.
As part of the Program, the Company shall provide the following to Client:
A Password Protected Program Area: The Company shall maintain a Program Area that will include video, audio and written lessons, templates, worksheets, checklists, slide decks and other training and support information. You shall have access to this Program Area for as long as the Program Area exists, however no less than 120 days. In the event that Company intends to close the Program Area, it shall provide clients with a 30 day notice and the ability to download the core resources contained in the Program Area.
From time to time, the Company will offer bonuses to individuals who sign up for the Program. You shall be entitled to any bonuses offered to you at the time of your enrollment. Bonuses are not guaranteed to be available for the entire lifespan of the program and they vary depending on specific live and automated promotions throughout the year.
The Closed “Students Only” Mindful Clinician “Tribe Group” falls under this bonus category. This group is a “community ran group” meaning that students are encouraged to help each other. A Community Manager, employed by the Company, oversees the group to ensure it is running smoothly. Satori’s team members will be live on video in the community from time to time for Q&A live sessions during your enrollment in the Program. You shall have access to this closed Mindful Clinician “Tribe Group” area for as long as the closed “Tribe Group” Area exists, however no less than 120 days. In the event that Company intends to close the closed “Tribe Group” Area, it shall provide clients with a 30 day notice.
DISCLAIMER
The Company’s Terms of Use, Privacy Policy, and Disclaimer are hereby incorporated by reference into this agreement. Except as modified by this Agreement, each of those agreements and policies shall apply fully to your participation in the Program.
Client understands Lynn Chenier (herein referred to as “Consultant”) and Satori Health & Wellness Coaching Ltd, is not an employee, agent, lawyer, doctor, manager, therapist, public relations or business manager, registered dietician, or financial analyst, psychotherapist or accountant. Client understands that Consultant has not promised, shall not be obligated to and will not; (1) procure or attempt to procure employment or business or sales for Client; (2) Perform any business management functions including but not limited to, accounting, tax or investment consulting, or advice with regard thereto; (3) act as a therapist providing psychoanalysis, psychological counseling or behavioral therapy; (4) act as a public relations manager (5) act as a publicist to procure any publicity, interviews, write-ups, features, television, print or digital media exposure for Client; (6) introduce Client to Consultant’s full network of contacts, media partners or business partners. Client understands that a relationship does not exist between the parties after the conclusion of this program. If the Parties continue their relationship, a separate agreement will be entered into.
